Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, mobile applications, and services (collectively, the "Services") provided by Influur Corporation and its affiliates, including Influur MX, S. de R.L. de C.V. (collectively, "Influur," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you are not authorized to access or use the Services.

These Terms incorporate by reference our Privacy Policy and Community Guidelines.

1. Eligibility and Account Requirements

Eligibility

You must be at least 18 years old to use the Services. You may maintain only one account per person or entity unless we authorize otherwise. You must provide accurate and current information and are responsible for safeguarding your credentials and all activity on your account. If you provide third-party contact information, you confirm that you have obtained their consent.

Restrictions

You may not impersonate others, use false identities, or share account access without our written authorization. You represent that you are not located in a country subject to a U.S. Government embargo, are not listed on any U.S. Government prohibited or restricted parties list, and that your use of the Services complies with applicable export control and sanctions laws.

Business Accounts

If you act on behalf of an organization, you represent that you have authority to bind that organization and that you will use its legal or commonly recognized commercial name.

Single-User Access

Some Services are designed for single-user access only. If you allow others to access your account without authorization, you remain fully responsible for their actions.

Communications

By creating an account, you agree to receive transactional and service-related communications and, where permitted, marketing communications. You may manage communication preferences as described in our Privacy Policy. Essential service communications cannot be disabled.

2. Description of Services

Influur operates a platform that connects brands and influencers for marketing campaigns. Influur does not employ brands or influencers and does not control the content or campaigns created through the platform. Brands and influencers act independently as contractors or business entities.

The Services include tools for campaign creation and management, influencer and brand discovery, vetting and verification, real-time communication, secure payment processing, and analytics and reporting.

3. User Roles

Web Visitors
Individuals who browse the website without creating an account.

Brands
Businesses or individuals seeking influencer marketing services.

Influencers
Content creators offering marketing services to brands.

Certain provisions apply only to Brands or Influencers where indicated.

4. Prohibited Conduct

You must comply with our Community Guidelines, which prohibit:

• Violent, discriminatory, or hateful content
• Harassment, bullying, or threats
• Nudity, sexual exploitation, or adult content
• Illegal activities or promotion of illegal substances
• Fraud, impersonation, or deceptive practices
• Intellectual property infringement
• Platform misuse or security violations

The Community Guidelines are incorporated into these Terms by reference.

Additional Prohibited Conduct

You may not engage in the following activities:

Privacy Violations
Collecting or sharing personal data without consent
Creating fake accounts or impersonating others

Unauthorized Commercial Use
Reselling or redistributing the Services
Using the Services to compete with Influur
Entering into agreements outside the platform without authorization (Brands and Influencers only)

Platform Abuse
Interfering with or disrupting the Services
Attempting unauthorized access to systems or accounts
Uploading malware or malicious code
Using the Services for illegal purposes
Violating applicable laws or regulations

Enforcement and Consequences

Violations may result in content removal, account warnings, feature restrictions, suspension, or termination.

Appeals

You may appeal enforcement actions by contacting support@influur.com within 14 days of the action.

Financial Protections

Account restrictions do not eliminate payment obligations for completed work. Pending funds may be withdrawn before termination unless under dispute or review. Influur may offset outstanding amounts owed prior to remittance. Negative balances remain payable.

5. Payment Terms

Payment terms are governed by individual campaign agreements and third-party payment processor terms. You authorize Influur to charge your designated payment method for amounts owed and agree to keep payment information current.

You are responsible for all applicable taxes and government charges related to your use of the Services.

6. Intellectual Property

Your Content

You retain ownership of the content you create and post.

Our Platform

Influur and its licensors own all intellectual property in the Services, including software, algorithms, trademarks, and proprietary technology.

License to Influur

You grant Influur a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, perform, and create derivative works of your content in connection with operating and promoting the Services. This includes use of your name, image, voice, and likeness. This license survives termination for content already shared.

Restrictions

You may not copy, modify, reverse engineer, scrape data, remove proprietary notices, or use Influur trademarks without written authorization.

7. Third-Party Services and Integrations

The Services integrate with third-party platforms including social media platforms, payment processors, analytics providers, and app stores. Use of these services is governed by their own terms and policies. Influur is not responsible for third-party services.

8. Confidentiality

Confidential Information includes non-public business information, campaign details, proprietary processes, and user data. You agree to protect such information and use it only for authorized purposes. Public or independently obtained information is excluded.

9. Representations and Warranties

You represent that all information provided is accurate, that you have authority to enter into these Terms, and that your content complies with applicable laws.

Brands
You confirm compliance with advertising regulations and agree not to solicit Influur influencers or employees outside the platform.

Influencers
You agree to comply with FTC endorsement and disclosure requirements and confirm that your content is original or properly licensed.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

Influur disclaims all implied warranties to the maximum extent permitted by law. We do not guarantee outcomes, earnings, matches, or performance. Some jurisdictions may limit these disclaimers.

11. Limitation of Liability

Influur Parties are not liable for indirect, incidental, consequential, or punitive damages. Total liability is limited to the greater of $100 USD or amounts paid in the prior 12 months, except where prohibited by law.

12. Indemnification

You agree to indemnify Influur Parties against claims arising from your use of the Services, content, or violations of law. Influur may assume control of the defense.

13. Term and Termination

These Terms remain effective while you use the Services. Influur may suspend or terminate access for violations, inactivity, or legal reasons. Upon termination, access ceases and data is handled per the Privacy Policy. Certain provisions survive termination.

14. General Provisions

These Terms constitute the entire agreement. No waiver, severability, independent contractor relationship, force majeure, assignment, and notice provisions apply as described.

15. Dispute Resolution

These Terms are governed by Delaware law.

Disputes must first be addressed informally. If unresolved, disputes are subject to binding arbitration with class action and jury trial waivers, except where prohibited. Venue defaults to Delaware courts if arbitration does not apply.

Claims must be filed within one year.

16. Special Provisions for App Stores

App Store providers are third-party beneficiaries of these Terms but have no responsibility for the Services. In-app purchases are governed by App Store payment terms.

17. Updates and Contact Information

We may update these Terms periodically. Continued use constitutes acceptance.
